With small and middle-market and growth-equity borrowers still facing difficulties finding consistent sources of capital, increasingly Business Development Companies are filling the voids -- and many are generating high yields for their investors.

Because BDCs have the ability to invest across the capital structure, BDCs can be ideal financing sources for growing businesses.

For private equity firms that are considering launching BDCs, the fundraising process is less arduous than what you’re used to -- no having to run from one institutional investor or family office to another.

So if you’re seeking your first BDC, or want to launch a second BDC, or want to expand your existing BDC, don’t miss our ENCORE conference, with all‑NEW content, on “Best Practices for Launching & Managing a BDC,” held in Midtown New York City on Thursday, February 6.

With access to the public capital markets, BDCs offer a permanent, not periodic, source of capital -- you don’t have to raise a new fund every five years and you don’t have to prematurely exit your portfolio companies to provide investor liquidity.

Moreover, you can use the BDC’s stock to make investments and acquisitions, and in some situations, to incentivize your firm’s employees.

So it’s no surprise there’s substantial interest in BDCs today -- they can generate current income for investors in a low-yield environment, and fill the void that other capital providers have left in the wake of the financial crisis.

The number of BDCs has multiplied significantly over the past several years. Today there are more than 40 BDCs with an aggregate market capitalization of $28 billion.

But launching and managing a BDC is really complicated. The requirements are tricky, the regulations are complex -- and needless to say, to be successful you have to be very, very good at making loans and preserving capital.

Register Now to Meet Our Chairman, Mike Tokarz

We’re extremely pleased to welcome Michael T. Tokarz, Chairman & Portfolio Manager of  MVC Capital Inc. in Purchase, New York -- a publicly-traded BDC (NYSE:MVC) -- as our chairman.

Mike is a senior investment professional with more than 30 successful years of lending and investment experience. He was a general partner at Kohlberg Kravis Roberts & Co., before  joining MVC Capital and founding its investment adviser, The Tokarz Group Advisers LLC, and his private merchant bank, The Tokarz Group.

During his 18 years at KKR, he participated in a variety of leveraged buyouts, financings, restructurings, and dispositions.

Mike currently serves on corporate boards including Walter Energy Inc., Mueller Water Products Inc., Walter Investment Management Corp., IDEX Corp., and CNO Financial Group, as well as serving on the boards of some of MVC Capital’s portfolio companies.

In addition, he’s on the board of Illinois Ventures, a University of Illinois-focused venture capital seed fund and high technology incubator, and is chairman of a related private equity follow-on investment fund. He also serves as the chairman emeritus of the University of Illinois Foundation and its investment and executive committees.

Mike received both an undergraduate degree with high distinction in economics, and an MBA in finance from the University of Illinois. He’s also a certified public accountant. Mike was selected as one of the “Best Corporate Directors in America" by Outstanding Directors Exchange in 2007.

Mike is a frequent panelist on business television programs, and you can watch his interview about BDCs on CNBC at http://video.cnbc.com/gallery/?video=3000025601.

MVC has announced transactions with IRRs of 31%, 125%, and 140% and has realized and unrealized IRR of 19% over the last 10 years on its private equity portfolio.

Along with Mike, our panel presentations will feature 20 highly knowledgeable BDC experts, including BDC directors and managers, advisors, consultants, attorneys, and more. You’ll hear their real-world perspectives and winning strategies for succeeding in the BDC marketplace.

You’ll hear three panel discussions whose topics range from first-hand reflections from four experienced BDC managers about what they wish they’d known before they started, to a discussion on how the rising interest rate environment is affecting BDCs’ valuations, to how the political warfare in Washington has complicated BDCs’ business plans.

BDCs can also access financing provided by the Small Business Administration’s SBIC program. Cynthia Krus, a partner at Washington D.C.-based Sutherland Asbill & Brennan, the country’s leading law firm for organizing BDCs, is delivering a keynote on how and why many BDCs have formed SBIC “subsidiaries” as part of their business strategies, providing a double helping of  federal support.

Register Now for Our Pre-Conference Workshop

On Launching Your First BDC

This optional workshop -- “BDC Basics -- What Every New BDC Must Know Before Launching” -- being led by experts from Sutherland, is ideal if you’re new to business development companies, and will go into greater detail on the specific issues affecting both operating and in-queue BDCs.

At this workshop, we’ll answer such questions as --

  • Why are BDCs generating so much buzz?
  • Why are PE firms facing significant challenges in creating BDCs?
  • What are the pluses and minuses of forming a publicly-traded BDC versus a non-traded BDC?
  • What are the tax implications of BDCs? What provisions are often misunderstood?
  • What legislative changes to further modernize BDC regulation are pending, and how likely is it that these changes will be adopted?
  • What are the tips and tricks of BDC operations that current sponsors find most valuable?
  • What factors can make for a successful launch of a new BDC?
  • What sectors tend to perform best as part of a BDC portfolio? How defensive should a BDC portfolio be?
  • What are some of the misconceptions about BDCs -- what is the reality?

6 Important Reasons You Should Register

To Attend This Encore Conference

  1. Learn how increasing regulations on the banking industry can mean new opportunities for BDCs.
  2. Recognize when your BDC should be a one-stop shop for middle-market lending, and when it should specialize in just one category.
  3. Understand the tax advantages that BDCs provide.
  4. Hear the current state of SEC regulations and how they may change in the coming years.
  5. Realize why in today’s environment, the three most important criteria when making loans are quality, quality, quality.
