Designed to Meet the Needs of Independent (fka "Fundless") PE Deal Sponsors,

The Middle-Market Capital Sources, Lenders, & Bankers Who Back Them,
And the Lawyers, Accountants, & Consultants Who Advise Them.

Faculty | Schedule | Registration | Location | Sponsorship | Audio Package |

Back nine years ago, when the producers at The Capital Roundtable created the world’s first conference for independent sponsors, these dealmakers were called “unfunded” or “fundless” sponsors.

Today, independent sponsors comprise a mature profession -- with its own large community, best practices, and wide industry acceptance -- often competing successfully with sponsors who are funded. (We tease traditional sponsors by calling them “dependent” sponsors.)

Coming up in a few weeks is The Capital Roundtable’s ninth annual independent sponsor conference.

Given their experience and connections, the producers at The Capital Roundtable have a unique understanding of how the field has evolved, and what factors make the difference between average and successful performance.

Register Now to Meet Our Chairman, Jack Sadden

And to make this conference exceptionally relevant, we’re pleased to welcome as this year’s chairman, Jack Sadden, Managing Director of Valesco Industries in Dallas

Jack and his partner launched Valesco over two decades ago, and in short order, they evolved their firm from advisors to merchant bankers to full-fledged independent sponsors.  Recently they formed an SBIC to have their own committed capital to serve an audience of community banks, family offices, high net worth individuals, and institutional partners.

Jack’s unique view of the industry, and of how independent sponsors can stand out in an increasingly crowded universe, is invaluable for both independent sponsors and the investors who back them.

If your goal is to expand -- or establish yourself -- as an independent sponsor -- or as a backer -- you must attend The Capital Roundtable’s ENCORE conference -- “Independent Sponsor Dealmaking in Partnership with Capital Sources” being held at the New York Athletic Club in New York City on Thursday, March 6.

Jack has developed a broad-based professional background that includes extensive experience in hands-on operating management, professional advisory, mergers and acquisitions, and corporate finance. His operations experience includes both executive and advisory posts working with distressed and turnaround businesses.

Jack began his corporate finance career with a predecessor of Ernst & Young, where he was acting director of the Southwest Region Merger & Acquisition Services Group. Before Valesco, he was EVP and CFO of one of the country’s largest independent fabricators of reinforcing steel.

Jack’s experience in organization governance includes both corporate and professional association boards of directors. He is a graduate of Florida State University School of Business and earned his CPA in 1986.

Recent investments by Valesco include --

  • Recapitalization of WatchGuard Video, the world’s largest manufacturer of police in-car video systems, body-worn cameras, and evidence-management software.
  • Support of a management buyout of Adams Flavors, Foods & Ingredients, a manufacturer and distributor of branded and private-label blends, extracts, and spices sold to retail supermarkets and food manufacturers in the south central and southeastern U.S.
  • Investment in New London Communications, a provider of commercial print-centric services in a variety of markets.
  • A buyout of  G.E.T. Enterprises, a provider of premium non-disposable kitchen and foodservice tableware and drinkware for commercial and institutional markets.

Seven Key Reasons to Register Now

Here are 7 important reasons why you should register now to attend this encore conference, “Independent Sponsor Dealmaking in Partnership with Capital Sources” --

  • Gain insight on how to prevent being marginalized once the deal is finalized.
  • If you’re an independent sponsor, discover how to gain a seller’s confidence in your abilities.
  • If you’re a capital source, learn how to identify which independent sponsors are most likely to get you to the closing table.
  • Network with your peers and counterparts to hear which strategies and approaches work best in today’s marketplace.
  • Learn what terms are standard with sellers, and what hurdles need be overcome when working with equity groups for the first time.
  • Understand the steps that independent sponsors must take to develop and build strong deal flow networks.
  • Learn how to approach not just private equity firm GPs, but mezz funds, hedge funds, family offices, and wealthy individuals.

Register Now to Hear 20 Independent Sponsors Reveal What You Must Know

Along with Jack, our panel presentations will feature 20 highly knowledgeable independent sponsors and capital sources who frequently partner on deals. You’ll hear their real-world perspectives and winning strategies for succeeding in today’s environment, plus insights on negotiating deals.

You’ll also discover what makes a good deal today. Virtually any independent sponsor can come up with deals, but the ones that get the backers are those who know good from not-so-good deals and how to harvest the capital they receive.

Register Now for an Exclusive Pre-Conference Workshop

We also encourage you to attend one of our afternoon “ToolBox” Pre-Conference Workshops on Wednesday, March 5. These workshops are exactly where you need to be to hear everything you need to know. We’ll explain how to work with a capital provider for the very first time, and what deliverables each side is charged with.

  • ToolBox A, “Best Practices Exclusively for Independent Sponsors,” offers an ideal grounding both for newer independent sponsors and experienced fund managers who are considering making the transition.
  • ToolBox B, “Best Practices Exclusively for Capital Sources for Independent Sponsors,” covers the issues that specifically apply to these investors, lenders, and backers.

At this conference, we’ll answer questions such as --

  • What are the key reasons 2014 holds so much promise for independent sponsors’ deals?
  • What are some of the biggest changes affecting the role of independent sponsors in today’s deal world?
  • How can independent sponsors gain the confidence of potential backers and company owners?
  • When does independent sponsors’ domain expertise work in their favor?
  • How can independent sponsors spot proprietary opportunities before the bigger funded sponsors take notice?
  • What are the traps and pitfalls facing newly minted independent sponsors?
  • What do independent sponsors consider to be fair compensation for finding and structuring the deal?
  • How can independent sponsors stay in control of their deals all the way to the closing table?

Register Now to Build Valuable Contacts Through Our Networking Opportunities

The day’s agenda includes ample time for you to --

  • Meet fellow attendees and featured speakers
  • Enhance your personal database with valuable connections
  • Share both ideas and business cards
  • If you’re an attorney or advisor -- Meet new potential clients
  • If you work as an executive search professional -- Meet potential prospects

Register Now to Receive Our Early Bird Rate

To avoid disappointment, please contact our registrars, Hallie Watson or Joanna Levin, today to confirm your attendance at 212-832-7300 ext. 0, or hwatson@capitalroundtable.com.

This conference is being produced by The Capital Roundtable, America’s leading conference organization focusing on “need-to-know” information for professionals in the middle-market private equity community. P.S.  Who are “independent sponsors?” These are the thousands of private equity dealmakers who buy and build smaller middle-market companies on a deal-by-deal basis, without access to a pool of committed limited partner capital. Instead, after they orchestrate each deal, they invite other investors and lenders to pitch in. Formerly known as “fundless” or “unfunded” sponsors, these independent professionals get rewarded chiefly by sourcing attractive deals and then rolling up their sleeves and helping management teams enhance the value of the companies they buy.
