Just a few years ago, independent sponsors — then known as “fundless” sponsors — were a relatively new phenomenon.
Now, the category of independent sponsors has matured into an industry of its own, and 2013 looks to be a banner year for this fast-growing sector.
Come discover the tools you need for continued success as an independent sponsor when you attend The Capital Roundtable’s ENCORE conference — “Independent Sponsor Deal-Making In Partnership With Capital Sources,” being held in New York City on Thursday, January 24.
Here are 6 important reasons you should attend this conference:
- Hear why -- for many investors -- the pendulum is swinging to direct investing in a known company, and away from funding a blind pool that has a management fee.
- Network with your peers and counterparts to discuss the pluses and minuses of today’s independent sponsor arena.
- Find out how independent sponsors are successfully building networks for deal flow and for sources of capital.
- Understand the issues facing all four parties in an independent deal – the seller, the independent sponsor, the capital source, and the management team.
- If you’re a relatively new independent sponsor, gain insight on how to persuade sellers that you can make a deal happen.
- If you’re a capital source, gain insight on how to ensure that an independent sponsor is more than just an intermediary seeking a bigger fee.
Serving as chair of our 8th Independent Sponsor conference is Dan Negrea, managing partner at MTN Capital Partners in New York City. Since its inception in 2005, MTN and its portfolio companies have been involved in acquisitions totaling almost $500 million.
Before co-founding MTN, Dan was an investment banker for 20 years. He held senior positions in leveraged finance at Drexel Burnham Lambert, Bear Stearns, Chase Securities, and ING Barings.
Dan is a director of Kings Supermarkets, The Orthotic Group, and Revolution Dancewear. He holds an MBA from Cornell University and an MA in international finance from the University of Bucharest.
20 Expert Sponsors, Investors, and Bankers Share Their Strategies
Our Roundtable features 4 panel discussions led by our chair and with the collective insight of 20 knowledgeable independent sponsors and capital sources who frequently partner on deals.
When you attend our Roundtable on Thursday, January 24, you will listen and learn from experts offering real-world perspectives, lessons learned, and industry outlooks, plus insights on negotiating deals.
We’ll discuss such hot topics as the growing interest in pledge funds. Post-Madoff, many capital sources are looking for greater flexibility and a looser up-front commitment -- which is what pledge funds are all about. As an independent sponsor, you can take advantage of this alternative partnership that meets the current needs of investors looking for direct deals.
We’ll also explain why clarity in the communications between independent sponsors and their capital sources is more important than ever. While you can learn from future mistakes, a much better approach is to hear beforehand how to handle negotiations the right way, how to set compensation, and how to assign roles.
What’s more, we’re presenting two concurrent “Tool Box” workshops the day before, on the afternoon of Wednesday, January 23.
- The first is exclusively for newer independent sponsors, and for experienced fund managers who are considering making the transition to being independent sponsors, and offers an ideal grounding in this area.
- The second is exclusively for the backers of independent sponsors, and covers the issues that specially apply to these investors, lenders, and bankers.
By attending this Capital Roundtable conference, you’ll kick-start your 2013 activities and prepare yourself for a most profitable year. We’ll provide timely answers to such questions as:
- What are some of the biggest changes in the world of independent sponsors?
- How can you enhance the relationship between independent sponsor and capital partner?
- How can new independent sponsors gain the confidence of potential backers and company owners?
- What are the best practices an independent sponsor can follow to build a substantial deal flow?
- What are the tactics independent sponsors can use to leverage their domain expertise?
- What are the tips and tricks you need to know, such as minimizing broken deal expenses?
Outstanding Networking Opportunities You Will Not Find Anywhere Else
We’ve built ample time into the day’s agenda so you can:
- Meet fellow attendees and featured speakers
- Enhance your personal database with valuable connections
- Share both ideas and business cards
- If you’re an independent sponsor – introduce yourself to potential backers
- If you’re an investor, lender or banker – get the jump on sourcing new deals
- If you’re an attorney or advisor – Meet new potential clients
- If you work as an executive search professional – Meet potential prospects

This conference is being produced by The Capital Roundtable, America’s leading conference organization focusing on “need-to-know” information for professionals in the middle-market private equity community. For more information about The Capital Roundtable’s 30 annual conferences and other events and programs, please visit www.capitalroundtable.com.
The Capital Roundtable thanks Huron Capital Partners LLC, Peninsula Capital Partners LLC, RFE Investment Partners, Sankaty Advisors LLC, Saratoga Partners LP, and Valesco Industries for supporting this outstanding event. It’s due in great part to their collaboration and support that we have the resources to make this event so worthwhile for you.
P.S. Who are “independent sponsors?” These are the hundreds of private equity dealmakers who buy and build smaller middle-market companies on a deal-by-deal basis, without access to a pool of legally committed limited partner capital. Instead, after they orchestrate each deal, they invite other investors and lenders to pitch in. These “fundless” or “unfunded” sponsors get rewarded chiefly by sourcing attractive deals and then rolling up their sleeves and helping their management teams enhance the value of the companies they buy.
