At first glance, this would seem to be an ideal time for middle-market companies to obtain low-cost debt for acquisition and expansion.
Maybe so -- but there are many things to consider before you look for financing. The offer that looks great today may not be the case tomorrow -- unless you choose your sources, structure, and terms very carefully.
Whether you’re considering senior secured or mezzanine debt -- or whether you’re talking to local banks or traditional mezzanine funds -- there are best practices you need to follow. Making the right decisions can make 2013 a more beneficial year.
Furthermore, at this conference, you’ll get to compare different types of debt financing available including senior secured, unitranche, second lien, mezzanine, and other hybrid structures. You will meet individuals from a broad range of debt providers including senior lenders, mezzanine funds, Business Development Corporations, SBICs, and hedge funds.
You’ll discover how to save money -- and how to make money -- when financing new deals and growing your portfolio companies when you attend The Capital Roundtable’s ALL-NEW conference -- “Raising Debt for PE Deals and for Portfolio Companies, being held in New York City on Thursday, February 7.
Here are just 6 important reasons you should attend this conference:
- Hear the state of the debt market from the very people who are doing the deals.
- Discover today’s most attractive sources of debt for companies in the middle-market space.
- Understand what you can do with a sub-$10MM EBITDA deal that you never could before.
- Find out why dividend recapitalizations are opening up a whole new avenue of financing.
- Learn how and where to obtain a unitranche facility that will answer your needs.
- Recognize the regulatory and tax code implications of debt financing alternatives.
Serving as chair of this timely conference, we are happy to welcome Christian Oberbeck, managing partner of Saratoga Partners LP in New York City.
Saratoga, a middle-market firm, was founded in 1984 as the corporate buyout group of Dillon, Read & Co. An independent firm since its spin-out in 1998, Saratoga now manages more than $750 million in capital, with 35 portfolio companies.
Saratoga Investment Corp. is an active lender to middle market companies that have EBITDA between $3 million and $25 million. It operates as a Business Development Corporation trading publicly on the New York Stock Exchange, and has an SBIC-licensed subsidiary.
Chris is the CEO of Saratoga Investment Corp. and has over 25 years of experience in leveraged finance, from distressed debt to private equity, and has structured, negotiated, and monitored investments in a wide variety of middle-market businesses.
Before joining Saratoga, Chris was a managing director of Castle Harlan, Inc., and worked in the Corporate Development Group of Arthur Young and in corporate finance at Blyth Eastman Paine Webber. Chris’s direct portfolio company responsibilities include Advanced Lighting Technologies, Inc., CEMA Lighting, STC Wireless Resources, Inc., EUR Systems, Inc., CommSoft, Inc. and Koppers Holdings Inc.
Chris holds a BS in physics and a BA in mathematics from Brown University, and an MBA from Columbia University.
20 Middle-Market Experts Share Their Financing Strategies
Our Roundtable features 4 panel discussions led by our chair and with the collective insight of 20 knowledgeable investors and lenders. When you attend our Roundtable on Thursday, February 7, you will listen and learn from their real-world perspectives, lessons learned and industry outlooks, plus insights on mastering this growing capital source.
We’ll discuss why middle-market companies so often have to look beyond banks – who, despite their guarantee requirements, will offer a low rate only to certain multiples. Our panelists will discuss options that may keep you in the single-digit playing field once bank pricing takes a giant step upwards.
And, with so many changes taking place in Washington D.C., we’ll bring you up-to-the-minute information on the Treasury’s latest thinking that will affect your 2013 activity. You’ll hear when it makes sense to sell an entire company and when it’s best to do a partial sale.
By attending this Capital Roundtable conference, you’ll be well prepared to face 2013 with a compelling new capital generation strategy in your playbook. We’ll provide timely answers to such questions as --
- How do dividend recapitalizations help portfolio company owners take capital off the table?
- When does a unitranche facility trump the alternative of senior plus mezzanine debt?
- How concerned should you be about the risk of a recession?
- Why are there fewer change and control deals being done this year?
- Who benefits most from today’s low rates, and who gets the advantage of liquidity?
- What role are hedge funds playing in today’s financing mix?
- How is the CLO market driving leveraged loan market activity?
- How does the cost of capital compare between SBICs and BDCs?
You Will Not Find Better Networking Opportunities Anywhere Else
