Last year the number of restaurant LBOs surged, and now, only two months into 2006, it’s clear that more and more private-equity players have their sights trained on the restaurant industry.

Just look at acquisitions like Fox & Hound by Newcastle Partners and Steele Partners, Del Taco by Sagittarius Brands (a portfolio company of Grotech, Charlesbank, Leonard Green, and Stockwell), and Corner Bakery by Bruckman Rosser’s portfolio company Il Fornaio.

Better still, the IPO window for restaurants seems swung wide open, judging from the successful debuts of Chipotle Mexican Grill and Morton’s Restaurant Group (a Castle Harlan portfolio company).

This recent boom in restaurant deals has inquisitive buyout professionals wondering:

  • Have the underlying fundamentals of the restaurant business changed?
  • Have restaurant chains simply become relative bargains given increased valuations across other industries?
  • Is the growth of the casual dining segment driving increased investment?
  • And, even more importantly, are the resulting restaurant LBO capital structures capable of withstanding changes in market conditions?

At this special MasterClass, you'll learn from a faculty of 18 experts who work in the trenches how they’re responding to the increased activity in the restaurant space, what they are doing right when they're successful, what they did wrong when they screwed up, and how they see the market evolving over the next year or two.

The program is being led by restaurant investor Adam Burgoon from Apax Partners, a global private-equity firm with over $20 billion under management and more than ten restaurant platform investments since inception, and produced by The Capital Roundtable, the country's only educational organization focused exclusively on the private-equity community.

When you leave this MasterClass, you’ll have the answers to these questions --

  • Why restaurant investments are back in vogue -- are they here to stay?
  • What are the driving trends in the industry?  Are high-growth quick service chains a thing of the past?  Will upscale casual continue to grow?
  • What do seasoned buyout professionals look for in restaurant concepts?
  • How do you determine if a restaurant concept is capable of a nationwide multi-unit expansion plan?
  • How best to capitalize a restaurant LBO.  How to win the auction without crippling future growth prospects or putting the company at risk in the event of a downturn.
  • What creative financing sources and structures are available to restaurant sponsors?
  • How to unlock and maximize the underlying value of any owned real estate?
  • What operational risks are specific to middle-market restaurant companies?
  • What specific actions can sponsors take to help their restaurant executives and maximize their chances of success?
  • How to approach real estate?  How to enter new markets?
  • How to do everything you need to do before you are supposed to be able to do it-- find the right sites, hire the right people, build the right systems, etc…
  • How long will the IPO window be open for restaurants?  What do institutional investors look for in a public restaurant chain?
