At the center of negotiating deals is the ability to successfully price and value deals. Whether talking about EBITDA multiples on similar investment comparables, or financial analysis resulting in a sophisticated DCF analysis, pricing and valuation lie at the heart of doing deals.

On top of pricing lies the due-diligence that needs to be completed in order to consummate the transaction. To complicate it all, the results from this due-diligence also affects the pricing. 

  • At this exclusive session, you’ll learn what goes into this process.  Is it art? Is it science?  Or a heuristic somewhere in-between?  Is it a black box, or an open rigorous process that can be replicated and applied to any situation?

  • With last year’s and this year’s record M&A activity and fundraising seasons, it seems that prices of deals just seem to just be ratcheting up. Higher priced deals environment means lower returns. Or does it?

  • Auctions seem to be more prevalent.  So do club deals.  Do these inflate deal pricing expectations (as the laws of economics would dictate), or do the professionals know something the rest of us don’t?

  • How does due-diligence play a role in determining ultimate price? What are the factors that affect deal pricing the most?  How can a deal professional use due-diligence services most efficiently?

You'll get answers to such frequently asked questions as –

  • What does the most recent pricing information on buyout transactions tell us about the buyouts environment?

  • How is pricing performed today – what techniques are in vogue? More importantly, which are most effective? Does industry sector matter?

  • Is there a preferred workflow in the pricing and valuation process?

  • What are some not-so-obvious consequences of mis-priced deals?

  • How is effective due-diligence performed?

  • What factors are most important in performing due-diligence?
