It seems like every day there are headlines about gigantic distresses in the bank industry, starting months ago with the hundreds of billions earmarked by the Treasury to prop banks up, followed by concerns about waste and accountability as the crisis metastasized into nonbank and even nonfinancial institutions.

Making matters worse has been that some big PE funds, sensing an advantage, jumped in possibly too early with large commitments, only to discover the hard way how complex and risky these investments are, and to be publicly humiliated with wipeout losses.

All the same, there is a silver lining.  The fact is, while many mega banks and mega PE funds are hurting badly, more and more middle-market PE firms are discovering that regional banks serving small and mid-sized businesses and retail clientele are in what may be the most attractive space of the PE world.

That’s why The Capital Roundtable is launching an all-new full-day MasterClass on Buying Regional Banks -- How to Find & Buy Regional Banks -- The Newest Major Opportunity for PE Investors.   On February 26 in New York, we’ll introduce you to an all-star slate of PE experts who specialize in these bank deals.

Consider these facts -- Many regional banks desperately need fresh capital. They’re closely monitored. And most important, they’re available at what are often staggeringly low prices.  Many regional bank values have dropped this year to only 50 to 80 percent of book value, down from two or three times book 18 – 24 months ago.

But there’s a catch. While the space is certainly undervalued, it’s by no means under-regulated.  And the barriers to entry can be pretty high hurdles to overcome.  And it makes no difference whether you are seeking a majority or minority position -- you have to be very well-informed and very well-prepared before you take the first step.

20 Experts Offer Knowledge You Can Literally Take to the Bank

This day-long MasterClass is chaired by one of the most respected names in the PE financial services arena, Richard Decker, chairman and co-founder of San Francisco-based private equity firm Belvedere Capital Partners, a private equity firm that 15 years ago pioneered the step of organizing itself as a bank holding company.   A former regional bank CEO and member of the Federal Reserve Board of San Francisco, his perspective on today’s regional bank scene is sure to be an eye-opener you won’t want to miss.

With four panel presentations on the agenda, you’ll hear a wide range of views and ideas. Our 20 featured professionals include private equity investors specializing in banks, operating partners from leading PE firms, plus prominent lawyers, regulatory compliance experts, investment bankers, and more.

Firms interested in the regional bank space need to fully understand the implications and sometimes limitations of TARP funding. Additionally, the road to economic recovery and stabilization in the banking sector will be led by the new Obama administration. What does this imply to future bank investors? The panelists will share their assessment and try to make sense of recent events.

Even if you’ve attended the most recent edition of our popular MasterClass on “PE Investing in Financial Services Companies,” you’ll want to come for these targeted insights specially focused on the regional bank sector.  Our content will exclusively address the pros and cons, while your conversations with other attendees will sharpen your knowledge and broaden your banking connections.

What’s more, by signing up now you can take advantage of a $400 early bird discount!

By attending this timely MasterClass, you’ll be well-briefed on all the issues that affect regional bank deals, like these:

  • Why do regional banks offer opportunities that are more attractive to larger financial institutions?
  • What regulatory changes are likely to affect investments in this banking sector?
  • What are the new rules on allowable percentages of ownership for non-bank holding companies?
  • When does it make sense to partner with a company with bank holding company status?
  • What are the major regulatory differences between the Federal Reserve, the FDIC, the OCC, the OTS, and the individual states' department of financial institutions?
  • What geographic areas present the best potential for bank growth?
  • How can you spot a bank loan portfolio that’s well-positioned for the future?
  • What are determining factors whether or not a bank will qualify to receive Troubled Assets Relief Program (TARP) funding?
  • What guidelines can help you analyze the potential of distressed regional banks?
  • And much, much more.

Make Your Plans Now to Attend This Timely Presentation

You’re sure to walk away from this MasterClass with a large stack of information and an equally large stack of business cards.  That’s because we build in plenty of time for you to network with other attendees and featured speakers.  And the material is so relevant, you’ll think this MasterClass is tailored just for your needs if you’re a:

  • GP or LP considering opportunities in the regional bank space.
  • Regional banker who needs capital for general purposes or loss reserves and is looking for an investment partner.
  • Attorney who advises on financial services PE deals.
  • Investment banker who actively pursues deals in the financial services industry.
  • Executive search professional recruiting for the bank and PE industries.

We also encourage you to attend our afternoon pre-MasterClass Workshop the day before on Wednesday, February 25, “Fundamental Issues in PE Investing in Regional Banks.” This optional half-day presentation will feature a hands-on exploration of the numbers and the nuances.

Remember, register with our Early Bird Discount by January 23, 2009 and you’ll save $400 off our regular fee! So make your reservation now while we have seats available. We’ll be looking forward to greeting you.
