In today’s topsy-turvy private equity marketplace, the competitive landscape has changed, particularly in the middle-market. Many smaller and mid-size PE funds have disappeared, but the deal opportunities are as plentiful as ever. In jumping in to fill this void, many independent PE deal sponsors are benefiting from this development.

Without the constraints of an active portfolio of companies, independent sponsors are positioned to find attractive, proprietary investment opportunities.  While many traditional PE funds are finding it harder to get deals done because of the credit freeze, their portfolio challenges, and the time they must spend fundraising, independent sponsors are finding that because of the nature of their business model, they can successfully nail the equity and debt they need to buy and build companies. They are very familiar with seeking funding from multiple sources, and that gives confidence to prospective sellers that they can get their deals done.

Put differently, independents aren’t dependent on using a captive fund, its rules, and the oversight of limited partners. Instead, they have the freedom to turn to multiple sources of debt and equity, just as they always have. In this environment, these features are powerful benefits.

All of which points to attending The Capital Roundtable’s sixth semi-annual MasterClass™ on Private Equity Dealmaking for Independent Sponsors. Over the past three years, this MasterClass has become the quasi-official meeting place where independent sponsors can swap stories from the front lines … and where PE fund managers can find new deal sources.

If you’re an indy sponsor -- or considering becoming one -- come hear how others are solving funding problems -- and get to meet new funding sources. And if you’re a capital source, come connect with new deal sources who are nimble, creative, and entrepreneurial.

Two Days, Seven Panels, 27 Speakers.

This event has two components.

  1. The main day -- January 28 -- features keynote presentations and four panel discussions including a number of private equity funds and mezzanine funds and lenders that like to back independent sponsors.
  2. And all afternoon on the day before -- January 27 -- there’s a special three-panel workshop that we call our “ToolBox” -- exclusively for independent sponsors -- that features three teams of experienced independent sponsors, discussing and answering questions on how they find deals, raise capital, and assist companies after the closing.

For details, see below for the agendas for both days.

It’s not only a wise decision for your future business, but also for your immediate cash flow. That’s because by signing up now, you can take advantage of a $200 Early Bird Discount!

As an independent sponsor, you may not get annual management fees from existing funds, but you do have competitive advantages that are relevant in today’s environment. And the most important is time itself -- free from a portfolio of companies that consumes your waking moments, you can get involved with company owners, dig into the details, and build relationships that can tip deals in your favor. While loyalty can sometimes be trumped by price, the fact is that founders and entrepreneurs quite often prefer to sell their companies to fellow independent spirits.

What you do need to successfully compete, however, is credibility -- with management, with lenders, with funds. When you attend this MasterClass, you’ll discover a wealth of techniques for positioning yourself to fund managers and lenders, showcasing your unique domain expertise or other proprietary abilities. In recent weeks, independent sponsors have even been top dogs at auctions, outmaneuvering larger firms through their non-economic strengths.

20 Expert Sponsors, Investors & Lenders Offer Insights … & Confidence.

As the chair of our proceedings, we are pleased to have Jim Goodman, president of Gemini Investors. Jim has been an investor in private middle-market companies for the past sixteen years, and oversees more than $300 million of capital. A long-time proponent of working with independent sponsors, he has seen independents’ deals grow from one-third of Gemini’s business three years ago to almost two-thirds today. What’s more, in the beginning, Gemini was itself an independent sponsor, and some of the investors from those days are now limited partners of the firm.

Along with Jim, we’ll have 20 panelists that represent both successful independent sponsors and savvy private equity investors who frequently partner on deals. It’s a sure-fire way to learn what investors and lenders are looking for, and what you can do as an independent sponsor that most large funds cannot.

The extraordinary amount of flexibility you have as an independent sponsor is not to be taken lightly; as the market claws its way out of the recession, the more avenues that are open to you the better. At this MasterClass, we’ll show you how to leverage your power with timely answers on topics like these --

  • What are the benefits of being an independent sponsor in today’s marketplace?
  • How has the credit crunch affected – or strengthened the hand – of independent sponsors?
  • Where can you find potential financing and what information does each source require?
  • What are today’s most popular methods of creative seller financing?
  • How can you gain the confidence of lenders, of fund managers, of company CEOs?
  • How can you educate funding partners about the added value you bring to the deal?
  • What are the tips and tricks you need to know, such as minimizing broken deal expenses?
  • Why are funds increasingly relying on independent sponsors for potential new deal flow?
  • How can you identify proprietary opportunities before the large funds take notice?
  • What are the considerations of raising equity through high net worth individual investors?
  • When is your domain expertise most likely to work in your favor against traditional GPs?
  • How should you negotiate with owners not willing to sell all of a family business?
  • What opportunities can be found when large companies shed small divisions?
  • And much, much more.

A Win-Win Event for Everyone Eager for a Profitable 2010.

For five Independent Sponsor MasterClasses in a row, we’ve watched our available seating fill up quickly -- and we don’t like to turn anyone away. We expect that this sixth outing will be our most popular yet as sponsors and investors come to seek each other out -- so we encourage you to make your plans as soon as possible.

Our full-day agenda includes plenty of networking breaks, plus an open lunch, where you can exchange ideas and information with your fellow attendees and our featured speakers. The excellent contacts and connections you can make at this MasterClass are likely to pay huge dividends in the months to come.

You should attend this MasterClass if you are a --

  • Independent sponsor looking to meet backers and outperform your competition.
  • Entrepreneurial investor considering striking out on your own.
  • PE fund manager interested in sourcing new deals.
  • Investment banker with deals suited for independent sponsors.
  • Lender who works with independent sponsors.
  • CEO or CFO of a company in search of private equity funding.

The Capital Roundtable thanks Nixon Peabody for sponsoring this outstanding conference. It’s due in great part to their support and collaboration that we have the resources to make this event so worthwhile for you.

P.S. Who are “independent sponsors?” They are private equity dealmakers who buy and build smaller middle-market companies on a deal-by-deal basis, without access to a pool of capital. Instead, after they orchestrate each deal, they invite other investors and lenders to pitch in. These “fundless” or “unfunded” sponsors get rewarded on a fully contingent basis, chiefly by helping enhance the value of the companies they buy.
