As the debt markets are slowly thawing, middle-market GPs are seeing new options for financing deals, buyouts, and buy-ins, and for helping their portfolio companies access capital and build value.

Yet the changed financing market means that investor expectations must match the new realities and the new uncertainties of the current market. Many traditional lenders are still out of the market, but new providers have entered the picture, and alternative strategies are taking center stage. Loan terms are in flux. We’ve entered an uneven period where sometimes you can get financing, sometimes you can even get it cheaply, and sometimes you can’t at all because markets have pulled back.

What distinguishes current conditions is that while everyone understood that in the aftermath of the biggest financial crisis in recent history, the leveraged lending rulebook would have to be re-written, the new rules are not yet in place.

The result is the search for debt capital for the PE industry is more complicated than ever. Financing windows open and close based on news and rumors. Some capital sources are still in total defense mode, while others are flush with liquidity and eager to lend. Some products have disappeared while others are back as if the crisis never happened.

So you need to be more resourceful, flexible, and determined than ever in your search for capital, having not just a plan B but a C, D, and E as well. You may have to cobble debt together from multiple sources, and you may have to pay attention to alternatives out of your usual comfort zone such as SBA financing and seller financing.

So whether you have deals you’re trying to get done right now, or have portfolio companies that need capital right now, may we suggest that you RSVP right now for The Capital Roundtable’s third annual, full-day MasterClass™ on debt for middle-market PE companies --

Getting Debt for PE Deals & Portfolios --
New Sources, New Prices, New Structures
In an Uncertain Market

On Thursday, May 6, in New York, you’ll discover the steps you must take in order to enhance your position as a borrower, or as an investor in a company that has to borrow.

We’ll thoroughly explore markets that have reopened, and that are still sporadic. You’ll hear the latest on mezzanine alternatives, with funds available at elevated prices. Asset-backed financing, where covenants and liens have tightened. “Amend and Extend” transactions, where lenders keep existing loans in place with a maturity extension in return for better terms. And the return of “old-fashioned” bank loans with greater emphasis on credit quality and covenant packages.

And while we’re on the subject of openings and closings, you have a limited-time window of opportunity to register for this MasterClass at significant savings. When you sign up today, you can take advantage of our special Early Bird Discount and save $300!

One Day Can Make the Difference Between

Getting Capital & Getting the Runaround.

By attending this all-NEW MasterClass, you’ll be able to zero in on the traditional and alternative lenders who can best meet your needs. We’ll talk about how wide an approach to take, what time frame you should expect, and how careful you have to be to avoid pitfalls.

Most importantly, we’ll discuss how working well with lenders can give you an important advantage in this market. There are specific actions you can take to position yourself as a responsible and open borrower -- vitally important at a time when lenders are being cautious about who they talk to and how robust their EBITDA projections going forward must be.

To lead this MasterClass, we are privileged to have one of the industry’s leading experts in private equity financial services. Our distinguished chair is Mani Sadeghi, founder and managing partner of Equifin Capital Partners, one of the premier private equity firms in New York dedicated to investing in the financial services sector.

Mani has led Equifin’s private equity investments in the commercial finance, consumer finance, and related sectors since 1998. He was formerly group president of AT&T Capital, and a principal in its 1996 management buyout. He serves on the board of several Equifin portfolio companies, and holds both an MBA from the Wharton School of the University of Pennsylvania and a MS in International Policy from Stanford University.

20 Experts Bring You Up-To-The-Minute Insights.

Along with Mani’s informed perspective, you’ll hear from 20 prominent financing specialists who will shed light on the total picture facing borrowers and lenders. Four panel discussions will feature lenders, investment bankers, non-traditional sources and PE deal partners, providing valuable recommendations and real-world case studies.

You’ll have the answers to these topical questions -- and more -- by attending this MasterClass --

  • What is the state of middle-market borrowing today? What’s projected for 2011?
  • Which levels of middle-market financing are likely to show improved pricing and terms in 2010?
  • Where are middle-market borrowers looking for alternative financing, and why?
  • How do you make sure that your capital structure makes sense?
  • Should borrowers be exploring multiple capital structures concurrently?
  • Will there likely be a decrease in problem deals and defaults in 2010?
  • What are the keys to getting better service from the lender you’re working with?
  • What length of time can borrowers expect for the lending process?
  • Is it still possible to form syndicates or club deals today??
  • What are the best ways to renegotiate terms with existing lenders?
  • Which financing strategies can best help your portfolio companies succeed?
  • How will proposed regulatory reform in Washington affect middle-market lending?
  • And much, much more.
